We reserve the right to modify, discontinue, or improve any service without prior notice.

2. Client Responsibilities

The client agrees to:

• Provide accurate information and project requirements.
• Provide all necessary content, images, logos, and documents.
• Respond to approvals and feedback within a reasonable timeframe.
• Ensure they have legal rights to all submitted content.

Any delay caused by the client may affect the project timeline.

3. Project Delivery

Estimated timelines are provided based on project scope.

Delivery timelines may change due to:

• Change requests
• Delayed approvals
• Incomplete requirements
• Third-party service issues
• Force majeure events

4. Payments

Projects may require an advance payment before work begins.

The remaining payment shall be made according to the agreed milestone schedule or before final delivery.

Late payments may result in suspension of services.

5. Intellectual Property

Ownership of the final project will transfer to the client only after full payment has been received.

CodeNexos retains ownership of proprietary frameworks, reusable components, internal tools, and source code libraries unless otherwise agreed in writing.

6. Digital Marketing Services

Marketing performance depends on multiple external factors including search engine algorithms, competition, audience behavior, and advertising platforms.

CodeNexos does not guarantee:

• First-page rankings
• Specific revenue
• Fixed lead numbers
• Guaranteed sales
• Guaranteed ROAS

7. AI Calling Agent & Automation

Clients are responsible for ensuring that their use of AI calling, messaging, automation, and communication services complies with all applicable laws and regulations.

Clients must obtain all legally required user consent before sending promotional or transactional communications.

CodeNexos is not responsible for misuse of communication services.

8. Third-Party Services

Projects may include third-party products or services such as hosting providers, cloud platforms, payment gateways, messaging providers, APIs, or advertising platforms.

CodeNexos is not liable for outages, pricing changes, account suspensions, or policy changes made by third-party providers.

9. Support & Maintenance

Support is provided only for the duration agreed in the project contract.

New features, redesigns, or additional functionality are treated as separate projects unless otherwise agreed.

10. Limitation of Liability

To the maximum extent permitted by law, CodeNexos shall not be liable for indirect, incidental, special, or consequential damages, including loss of business, revenue, profits, or data.

11. Termination

Either party may terminate the engagement by written notice.

Upon termination:

• Outstanding payments become immediately payable.
• Completed work delivered up to the termination date remains billable.
• Access to services may be revoked until dues are cleared.

12. Changes to These Terms

CodeNexos reserves the right to update these Terms & Conditions at any time. Continued use of our website or services constitutes acceptance of the updated terms.
